General Terms and Conditions

1. Definitions
In these terms and conditions, the following terms shall have the following meanings:
ByKiki: the company that provides boutique rental and hospitality services for luxury vacation homes.
Client: the owner or representative of a vacation home or project that uses ByKiki’s services.
Services: all services offered by ByKiki, including but not limited to rental management, positioning, marketing, guest communication, platform management, consulting, and vacation home development.
Agreement: any arrangement between ByKiki and the Client regarding services.
2. Applicability
These general terms and conditions apply to all quotations, agreements, and services provided by ByKiki, unless otherwise agreed in writing.
Deviations from these terms and conditions are only valid if confirmed in writing by ByKiki.
3. Services
ByKiki offers, among other things:
* Premium rental management for luxury vacation homes
* Positioning and marketing
* Guest communication and service
* Platform selection and management
* Pricing and revenue optimization
* Coordination with local parties
* Advice and guidance on the development of vacation homes
ByKiki selects properties and projects based on its own quality criteria and may refuse applications without providing a reason.
4. Formation of the Agreement
An agreement is formed when:
* a written or digital order confirmation has been issued, or
* ByKiki has actually commenced performance, or
* the client explicitly accepts a proposal or quotation.
5. Client’s Obligations
The client shall provide, in a timely and complete manner, all information necessary for the performance of the services, including:
* accurate property information
* availability
* prices and cost structure
* regulations and permits
The client guarantees the accuracy and completeness of the information provided.
6. Performance of Services
ByKiki performs services to the best of its knowledge and ability, in accordance with professional standards in the luxury vacation rental sector.
ByKiki has an obligation of effort, not an obligation of result, unless otherwise agreed in writing.
7. Rates and Fees
Rates and fees are set forth in the agreement or quotation and may consist of:
* commission on rentals
* fixed service fee
* consulting or project fee
* additional costs (e.g., photography, marketing, website)
All amounts are exclusive of VAT, unless otherwise stated.
8. Payment
Invoices must be paid within 14 days of the invoice date, unless otherwise agreed.
In the event of late payment, the client is automatically in default, and ByKiki may:
* charge statutory interest
* charge collection costs
* suspend services
9. Collaboration with Third Parties
ByKiki may collaborate with third parties (e.g., photographers, cleaning services, property management, platforms) to carry out its services. ByKiki is not liable for the performance of these third parties, unless there is intent or gross negligence.
10. Liability
ByKiki is only liable for direct damages resulting from a demonstrable failure in the performance of services.
Liability is limited to the amount paid out in the relevant case by ByKiki’s liability insurance, or—if no payment is made—to the amount of the relevant service fee.
ByKiki is not liable for:
* indirect or consequential damages
* lost rental income
* damages caused by guests
* damages caused by third parties or force majeure
11. Force Majeure
ByKiki is not liable for delays or failures due to circumstances beyond its reasonable control, including disruptions, pandemics, regulations, natural conditions, travel restrictions, or platform changes.
12. Term and Termination
The agreement is valid for the agreed-upon period and may be terminated in accordance with the agreed-upon notice period.
In the event of early termination, costs already incurred and work already performed remain due.
ByKiki may terminate an agreement if the collaboration or property no longer fits within the quality profile.
13. Intellectual Property
All materials, texts, positioning, concepts, photos, websites, and marketing developed by ByKiki are the intellectual property of ByKiki, unless otherwise agreed.
Use by the client outside the scope of the collaboration requires written permission.
14. Privacy and Data
ByKiki processes personal data in accordance with the privacy policy at www.bykiki.com.
15. Governing Law
All agreements are governed by Dutch law.
Disputes shall be submitted to the competent court in the Netherlands.
16. Changes to Terms and Conditions
ByKiki may amend these general terms and conditions. The current version is always available at www.bykiki.com.
